Sideline Systems Terms of Use

These terms govern your access to and use of Sideline Systems. This page presents the full terms directly in the browser, with the original PDF still available for download.

These Terms of Use (the "Terms") govern your access to and use of the Sideline Systems mobile application, websites, and related services (collectively, the "Services") operated by Sideline Systems LLC ("Sideline Systems," "we," "us," or "our"). By creating an account, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and Authority

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or act on behalf of a school, club, team, or organization. If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Description of the Services

Sideline Systems provides software tools designed to support basketball and athletic program operations, including features such as team management, staff and roster administration, scheduling, statistics entry and tracking, reports, alerts, subscriptions, and related administrative tools.

We may add, remove, improve, or modify features at any time.

3. Accounts and Security

You are responsible for:

  • Providing accurate and current registration information.
  • Maintaining the confidentiality of your login credentials and device access.
  • All activity that occurs under your account.
  • Promptly notifying us of any unauthorized access or suspected security incident.

You may not share credentials in a way that allows unauthorized access to the Services. We may require additional verification, including email verification, invite acceptance, or other security steps, before granting access to certain features.

4. Organization, Team, and Staff Access

The Services may allow one or more users to access an organization, program, department, or team using role-based permissions. Account owners, administrators, coaches, and staff are responsible for assigning permissions appropriately and for ensuring that invited users are authorized to access the applicable team or organization data.

You are responsible for the actions of users you invite or authorize under your organization or team account. We may suspend or limit access where permissions appear misused, inaccurate, or inconsistent with the intended structure of the Services.

5. User Content and Team Data

You retain ownership of the information, data, text, images, reports, statistics, roster details, staff records, and other content you submit to the Services (“User Content”), subject to the rights you grant us below.

You grant Sideline Systems a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, format, display, transmit, and otherwise use User Content solely to:

  • Operate, maintain, and improve the Services.
  • Provide requested features and support.
  • Generate reports, dashboards, analytics, and internal app functionality.
  • Enforce these Terms and protect the Services.

You represent and warrant that you have all rights necessary to upload and use User Content through the Services.

6. Data Accuracy and Coaching Decisions

The Services may generate summaries, statistics, reports, trends, or other outputs based on data entered by users. Those outputs depend on the completeness and accuracy of the data provided. Sideline Systems does not guarantee that any stat line, report, ranking, alert, or recommendation is complete, accurate, or fit for a particular coaching, personnel, medical, eligibility, or competitive decision.

The Services are intended as an informational and operational tool only. You remain solely responsible for all coaching, roster, eligibility, health, safety, disciplinary, and competitive decisions.

7. Acceptable Use

  • Use the Services for unlawful, fraudulent, deceptive, or unauthorized purposes.
  • Interfere with, disrupt, or compromise the security or integrity of the Services.
  • Attempt to gain unauthorized access to accounts, teams, organizations, data, or systems.
  • Reverse engineer, scrape, copy, or extract data or source code except as permitted by applicable law.
  • Upload malicious code, viruses, or harmful content.
  • Impersonate another person or misrepresent your affiliation with any team, school, or organization.
  • Use the Services to infringe any intellectual property, privacy, publicity, or other rights.
  • Use the Services in a way that could damage, disable, or overburden our infrastructure.

You agree not to, and not to allow any third party to engage in any of the prohibited activities above.

8. Player, Staff, and Minor Information

If you upload or manage information relating to players, staff members, students, or minors, you represent and warrant that you have all required permissions, notices, and consents to do so.

You are solely responsible for complying with all laws, regulations, league rules, school policies, and organizational requirements applicable to your collection and use of personal information, including information relating to minors.

9. Privacy

Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, and disclose information. If these Terms conflict with the Privacy Policy regarding privacy practices, the Privacy Policy will control on those issues.

10. Subscriptions, Billing, Renewals, Cancellation, and Refunds

Certain features may require a paid subscription or other paid plan. Pricing, plan features, billing intervals, and usage limits will be presented at the time of purchase or signup.

Unless otherwise stated, subscriptions automatically renew for the same billing period until canceled. By purchasing a subscription, you authorize Sideline Systems LLC or its payment processor to charge the applicable subscription fees, taxes, and any other disclosed charges on a recurring basis until cancellation.

You may cancel your subscription at any time, and cancellation will apply to future renewal periods only. Cancellation will take effect at the end of the then-current billing period unless otherwise stated at the time of purchase. You are responsible for canceling before the next renewal date if you do not want your subscription to renew.

Except where required by applicable law, all charges are final, non-cancelable, and non-refundable once billed. Sideline Systems LLC does not provide full or partial refunds, credits, or prorated reimbursements for unused time, unused features, reduced usage, accidental purchases, failure to cancel before renewal, downgrades during an active billing cycle, account deletion, or dissatisfaction with the Services.

If you purchase a subscription through Apple, Google, or another third-party platform, your billing relationship with respect to that purchase may be governed by that platform’s terms, and any refund requests may need to be directed to that platform.

Sideline Systems LLC may, in its sole discretion, provide a refund, credit, or other accommodation in exceptional circumstances, but it is under no obligation to do so. Any exception made in one instance does not waive Sideline Systems LLC’s right to enforce this policy in any other instance.

If your account or access to the Services is suspended or terminated because you violated these Terms, you will not be entitled to any refund, credit, or reimbursement.

We may change pricing, packaging, features, or plan limits in the future. If required by law, we will provide advance notice of material pricing changes before they take effect.

11. Trials and Promotional Access

We may offer free trials, promotional codes, activation codes, or limited-use access. Unless otherwise stated, such offers are subject to these Terms and may be modified, suspended, or discontinued at any time.

We may cancel or deactivate a code, trial, or promotional offer if we reasonably believe it was used improperly, fraudulently, or outside its intended purpose.

12. Suspension, Deactivation, and Account Deletion

We may suspend, restrict, or terminate access to the Services if we reasonably believe you have violated these Terms, created risk for the Services or other users, or used the Services in a fraudulent, unlawful, or harmful manner.

You may request deletion of your account, subject to any in-app process we make available. In some cases, deletion may involve deactivation, anonymization, or restricted access rather than immediate removal of all associated records, especially where retention is needed to preserve team history, reporting continuity, system integrity, security, billing records, or legal compliance.

Cancellation, suspension, account deletion, or termination does not require Sideline Systems LLC to delete or alter historical records, game data, team records, organization records, opponent records, reports, statistics, or other information retained for platform operations, auditing, fraud prevention, dispute resolution, security, legal compliance, competitive history, relational integrity, or data integrity.

Certain team, organization, game, reporting, or historical records may be retained after account deletion or deactivation in de-identified, aggregated, archived, or integrity-preserving form.

13. Intellectual Property

The Services, including all software, design, interface elements, branding, logos, graphics, workflows, text, compilations, and non-user content, are owned by Sideline Systems or its licensors and are protected by intellectual property laws.

Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you by implication, estoppel, or otherwise.

14. Feedback

If you provide suggestions, enhancement requests, bug reports, or other feedback, you grant us a nonexclusive, perpetual, irrevocable, worldwide, royalty-free right to use, modify, and incorporate that feedback without restriction or compensation to you.

15. Third-Party Services

The Services may interact with or rely on third-party platforms, tools, payment processors, hosting providers, authentication services, analytics providers, app stores, and communication providers. We are not responsible for third-party services, and your use of them may be governed by separate third-party terms and policies.

16. Service Availability

We do not guarantee that the Services will be uninterrupted, error-free, secure, or available at all times. We may perform maintenance, updates, upgrades, or emergency changes that temporarily affect availability.

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE.

WE DO NOT WARRANT THAT REPORTS, STATISTICS, ANALYTICS, ALERTS, OR OTHER OUTPUTS WILL BE COMPLETE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDELINE SYSTEMS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SIDELINE SYSTEMS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO SIDELINE SYSTEMS FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) FIFTY U.S. DOLLARS (US $50).

19. Indemnification

  • Your use of the Services.
  • Your User Content.
  • Your violation of these Terms.
  • Your violation of any law or third-party right.

You agree to defend, indemnify, and hold harmless Sideline Systems and its affiliates, officers, directors, employees, contractors, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to the items above.

20. Governing Law and Disputes

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Summit County, Ohio, and you consent to those courts’ personal jurisdiction and venue, except to the extent arbitration or other procedures are required by applicable law.

21. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we may provide notice by posting an updated version in the Services, updating the Effective Date, or by other reasonable means. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.

23. Apple App Store Additional Terms

  • These Terms are between you and Sideline Systems, not Apple.
  • Apple is not responsible for the Services or their content.
  • Apple has no obligation to provide maintenance or support for the Services.
  • To the extent any warranty is not effectively disclaimed, Apple’s only warranty obligation is to refund the purchase price, if any, for the app.
  • Apple is not responsible for addressing any claims relating to the Services or your possession and use of the Services, including product liability, legal compliance, or consumer protection claims.
  • Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

By using Sideline Systems, you acknowledge that you have read, understood, and agree to these Terms of Use.
